Raj Gangadean focuses his practice on business, including corporate finance and securities, intellectual property transactions and general business counseling. In the area of corporate finance he prepares and negotiates merger agreements, asset purchase agreements and stock purchase agreements; and advises clients with respect to, and prepares documentation for, private placements of securities and convertible debt financing; advises clients with respect to federal and state securities law compliance issues. He prepares and negotiates intellectual property licenses and technology transfers agreements, including software licenses, trademark licenses, original equipment manufacturer (OEM) agreements, value added reseller (VAR) agreements and application service provider (ASP) agreements for his intellectual property clients. Finally, in general business, he advises clients with respect to formation of limited liability companies and corporations; prepares and negotiates general business contracts, including distributor agreements, equipment lease and purchase agreements, strategic commodity supply agreements, construction and consulting services agreements and confidentiality agreements; advises clients with respect to various construction law issues, including compliance with mechanics' and materialmen's lien statutes and prompt pay statutes; and advises clients with respect to antitrust law compliance issues.
