Lohman, Sean Phillip

Susan Bevill Livingston is a partner in the firm's Birmingham office. She represents electric utility and other industrial companies in the negotiation of supply, transportation, storage and other commercial transactions pertaining to U.S. and foreign coal. These include purchase and sale documents, including long-term supply contracts containing cost-plus, indexed and market-based pricing; leases; railroad, barge and trucking contracts; and due diligence related to sales of company assets and stock. She has significant experience in representing large and small mineral owners in the negotiation of coal and gas leases, as well as purchases and leases of biomass products.

She works with clients in transactions involved in the purchase, installation and construction of equipment and structures, including negotiation of contracts and working with clients to resolve construction performance issues including those related to liens, change order disputes, delays, payment disputes, suspension and termination of contracts. She also advises clients with respect to local and state permitting and licensing issues. Her construction practice generally involves large industrial and commercial projects, such as electric power plants and related facilities, railroads, gas pipelines, demolition projects, warehouses, and large equipment engineering, purchase, construction and installation transactions.

A significant portion of her practice involves working with clients on the development of contracts and resolution of issues involving retail sale and distribution of electric energy to industrial and commercial consumers. These include attachments to utility poles, local licensing issues, and sales contracts.
