John is a shareholder with Briggs and Morgan, Professional Association, and is based in our Minneapolis office. He is a member of the firm's Financial Institutions and Real Estate Section, and our Bankruptcy Practice Group. He practices principally in the areas of:

Bankruptcy, Workout and Creditors' Rights

John’s bankruptcy, workout and creditors’ rights experience is extensive. He has represented virtually all types of interested parties in large Chapter 11 bankruptcies and workouts, including secured and unsecured creditors, real estate and equipment lessors, insurers, creditors and equity committees, trustees, business debtors, boards of directors, post-confirmation entities, and other interested parties. Current and recent matters include:

  • Representation of bank in $110 million workout involving real estate developer with residential projects throughout U.S.;
  • Counseling agent bank in $100-plus million syndicated loan workout involving large lumber company;
  • Handling of reorganization of first air carrier to file Chapter 11 post-9/11, resulting in sale of airline;
  • Counseling Fortune 500 company as lessor and DIP lender in Tampa-based Chapter 11 bankruptcy of a marketer/vendor of electronic advertising display equipment;
  • Contested confirmation on behalf of business interruption insurers holding $500 million claim in Chapter 11 case of a major interstate pipeline company in Seattle;
  • Representation of outside directors of large utility company in out-of-court workout involving over $10 billion of debt, with ongoing representation in Chapter 11 cases for energy trading subsidiary and its 25 affiliates; and
  • Guiding founder of national home health care conglomerate, as co-proponent of plan of reorganization in Chapter 11 of parent company and its nearly 60 affiliates.
Distressed Mergers and Acquisitions

John represented various parties in distressed mergers and acquisitions while at his prior firm. Among his many transactions, which occurred both in and out of bankruptcy, are:

  • Distressed sale of national IT consulting firm on behalf of founder/sole shareholder;
  • Acquisitions for leading electronics and appliance retailer in bankruptcies throughout U.S.;
  • Acquisition of hospital in Washington, D.C., for mixed-use and residential developer;
  • Sale of largest private practice clinic in South Dakota for physician-owned seller;
  • GOB sale involving large retail clothing chain for creditors’ committee;
  • Sales of numerous hotels for leading regional franchisee;
  • Going-concern Article 9 sale of scheduled-service airline on behalf of airline;
  • Recapitalization of national scheduled-service bus company for bank; and
  • Sale of manufacturer/retailer of optical equipment for multi-bank lender.
Business and Financial Litigation

John has represented both plaintiffs and defendants in complex litigation involving a range of commercial matters. Among his representative work, he has:

  • Managed, as co-lead counsel, multi-district litigation involving hundreds of individual, class and mass actions containing breach of contract and deceptive trade practice claims;
  • Counseled lender in fraudulent transfer/debt recharacterization litigation stemming from UCC Article 9 dispostion;
  • Litigated on behalf of leading agricultural conglomerate against competitor in business-to-business non-compete case; and
  • Represented Fortune 500 company and one of its leasing subsidiaries in class actions throughout the country.
Admissions, Memberships and Education

John is admitted to practice in Minnesota and has been admitted to practice before the U.S. Courts of Appeal for the 5th and 11th Circuits, as well as pro hac vice in hundreds of cases across the country.

John is a member of the Hennepin County, Ramsey County, Minnesota and American Bar associations. He is a founding board member of the Turnaround Management Association’s Upper Midwest Chapter. He is also a member of the American Bankruptcy Institute and the Minnesota State Bar Association’s Bankruptcy Section. John has been named a “Leading American Attorney” by American Research Corporation and listed in Minnesota Super Lawyers, as seen in Minnesota Law & Politics.

In the community, John is a member of the Community Development Committee of the Highland District Council. He also recently chaired a $6 million capital campaign for his local parish and has served as a Crisis Nursery foster parent for Children’s Home Society of Minnesota.

John received a B.A. cum laude in English from the College of St. Thomas, an M.A. cum laude in English from the University of New Hampshire, and a J.D. with honors from Hamline University School of Law. John is published in Hamline Law Review and the National Law Journal, and is a frequent lecturer on bankruptcy, creditors’ rights and commercial topics. He joined Briggs in 2006.
