Andrew Messinger is a senior associate in the Securities Department and a member of the Investment Management Practice Group. He joined the firm in 2008.

Practice

Mr. Messinger’s practice focuses on advising registered and unregistered investment advisers, hedge funds and other private funds. His practice is primarily focused on advising clients regarding investment adviser formation, registration, and compliance programs and fund formation, fund governance, and marketing and distribution of fund interests. Mr. Messinger also advises investment advisers to hedge funds with respect to SEC investigations.

Recent representative work includes:

• Ongoing advice regarding the formation and marketing of a corporate governance fund, the registration of the fund’s US registered investment adviser, the implementation of a compliance program for the fund’s adviser, and the formation and FSA registration of the adviser’s affiliated UK sub-adviser.
• Ongoing advice to an offshore hedge fund regarding board and shareholder approvals for amendments to the fund’s governing and offering documents to, among other things, allow for the flexibility for the fund to ‘side pocket’ assets.
• Ongoing advice to a registered investment adviser in connection with an SEC investigation of the adviser and certain hedge funds managed by the adviser.

Prior to joining the firm, Mr. Messinger was an associate at Fried, Frank, Harris Shriver & Jacobson LLP in New York, where his practice focused on investment management and other corporate matters, including M&A transactions.

During law school, Mr. Messinger was an intern for the Honorable P. Kevin Castel for the United States District Court of the Southern District of New York, was a summer law clerk at BMW of North America, and was a summer associate at Fried Frank.
